Our attorneys negotiate and draft a broad variety of contracts for the purchase and sale of goods and services in a number of business settings. These legal services range from simple review of proposed contractual terms or provisions to complex drafting of a series of agreements and systems for a newly created franchise operation.
One large client asked us to perform a comprehensive review of nearly 300 contracts entered into over a number of years for a variety of goods and services. We were able to categorize the contracts into an Access database. This then enabled the client to sort and identify the contracts by type, vendor, obligation amount, term, renewal dates and terms, type of insurance provisions, type of default provisions, type of indemnity provisions, etc. The database resulted in a greatly facilitated ability to manage the contractual relationships as well as tremendous cost savings for the client.
As litigators, everyday we see in the court room the results of poor transactional planning and draftsmanship. In our transactional practice, we are very conscious of anticipating and eliminating litigation risks to the maximum extent possible.
